Professional partner notice: The Adria Science partner program is dedicated exclusively to partners acting in a business, professional, creator, media, commercial, or comparable capacity. Partners must keep all Adria-linked promotion strictly research-use-only.
These Partner Program Terms govern participation in the Adria Science partner, affiliate, referral, coupon, creator, cooperation, and commission program.
1. Scope and Acceptance
By applying for, accessing, or using the partner program, the partner accepts these Partner Program Terms, the main Terms and Conditions, the Privacy Policy, and all rules shown in the Partner Portal. Any separate written agreement with Adria Science prevails only to the extent of an express conflict.
2. Eligibility and Approval
Partners must be at least 18 years old, provide accurate identity, contact, tax, payout, website, channel, and promotional information, and comply with applicable laws. Adria Science may approve, reject, suspend, restrict, or terminate partner participation at its discretion where needed for brand, compliance, legal, payment, fraud, or operational reasons.
3. Research-Use-Only Promotion
The partner acknowledges that Adria Science products are supplied only for lawful scientific, laboratory, analytical, educational, or R&D purposes where permitted by applicable law. Partners must not make, publish, imply, sponsor, or encourage any human-use, animal-use, dosing, injection, administration, diagnosis, treatment, cure, medical outcome, body outcome, cosmetic outcome, supplement, food, veterinary, athletic-performance, or unlawful-use claim in connection with Adria Science products, links, codes, content, images, documents, or brand materials.
Partners must make clear that decisive product, compliance, documentation, and purchasing information is provided by the Adria Science E-shop and policies.
4. Links, Codes, and Attribution
Adria Science may provide referral links, coupon codes, campaign links, QR codes, banners, creatives, or other tracking tools. The partner must not modify tracking tools unless allowed by Adria Science. Commission is attributed only where Adria Science systems record eligible tracked activity.
Adria Science is not responsible for untracked, incorrectly formatted, blocked, deleted, expired, browser-rejected, privacy-tool-blocked, technically interrupted, or overwritten referrals.
5. Commission
Commission rates, eligible products, tiers, thresholds, payout timing, payout methods, pending periods, rejected status, reversed status, and currency are shown in the Partner Portal or a separate written agreement. Unless expressly stated otherwise, commission is calculated on the eligible product purchase price excluding VAT, delivery costs, shipping protection, duties, taxes, refunds, chargebacks, store credit, and other excluded amounts.
Commission may be rejected, reversed, delayed, deducted, or reclaimed for refunded orders, cancelled orders, failed payments, chargebacks, fraud, self-referrals, policy breach, prohibited promotion, unlawful claims, coupon abuse, tracking abuse, duplicate attribution, suspicious activity, or orders that are not validly completed.
6. Prohibited Partner Practices
- self-referrals or purchases made by the partner or on the partner’s behalf through the partner’s own link or code;
- false, misleading, medical, dosing, administration, or outcome claims;
- brand bidding, protected-term bidding, impersonation, or paid advertising using Adria names, domains, trademarks, misspellings, or confusingly similar terms without written permission;
- coupon, cashback, deal aggregation, browser extension, forced-click, toolbar, or incentive traffic without written approval;
- cookie stuffing, tracking manipulation, fake leads, fake orders, bot traffic, spam, unsolicited electronic communication, or artificial attribution;
- use of Adria branding in unlawful, offensive, pornographic, gambling, narcotic, deceptive, violent, hateful, or reputation-damaging contexts;
- copying Adria pages, product images, COA records, documents, or website design without permission;
- any activity that creates legal, payment, regulatory, product-claim, platform, or brand risk for Adria Science.
7. Partner Content and Legal Responsibility
The partner is solely responsible for the partner’s websites, social channels, advertising accounts, audiences, email lists, claims, disclosures, privacy notices, cookies, analytics, taxes, invoices, local legal compliance, and promotional conduct. The partner must maintain all permissions and legal bases required for marketing, tracking, personal data processing, email communication, and advertising.
8. Intellectual Property
Adria Science grants the partner a limited, revocable, non-exclusive, non-transferable permission to use approved brand materials only for approved partner promotion during active participation. The partner receives no ownership rights in Adria Science trademarks, names, logos, product images, content, COA documents, website materials, or other intellectual property.
The partner must immediately stop using all Adria Science links, codes, assets, names, and brand materials after termination or on request.
9. Confidentiality
Commission rates, payout details, special discounts, campaign strategy, partner tools, non-public product information, support decisions, and other non-public information provided by Adria Science must be kept confidential unless Adria Science gives written permission or disclosure is required by law.
10. Termination
Either party may terminate partner participation by written notice. Adria Science may immediately suspend or terminate participation for breach, suspected breach, compliance risk, fraud risk, payment risk, unlawful claims, brand misuse, tracking abuse, or other legitimate operational reason.
After termination, pending commission may be withheld or cancelled where connected with breach, refunds, chargebacks, suspicious activity, or ineligible referrals. Provisions on commission recovery, confidentiality, intellectual property, liability, indemnity, applicable law, and dispute resolution survive termination.
11. Relationship
The partner is an independent contractor. Nothing in these Terms creates employment, agency, franchise, joint venture, distributorship, legal representation, or authority to bind Adria Science. The partner may not make promises, warranties, guarantees, refunds, delivery commitments, medical statements, legal statements, or product claims on behalf of Adria Science.
12. Limitation of Liability and Indemnity
To the fullest extent permitted by law, Adria Science is not liable for indirect, consequential, lost-profit, lost-opportunity, reputational, platform, advertising-account, tracking, or business-loss damages connected with the partner program. Adria Science’s cumulative liability to a partner shall not exceed the eligible commission actually paid to that partner in the three months before the event giving rise to the claim, unless mandatory law requires otherwise.
The partner shall indemnify Adria Science against claims, losses, penalties, authority actions, platform actions, damages, and costs arising from the partner’s breach, unlawful promotion, misleading claims, data protection breach, advertising breach, tax breach, intellectual property misuse, or other acts or omissions.
