Terms and Conditions

These General Terms and Conditions govern all access to and use of the Adria Science website, E-shop, customer account functions, product pages, checkout, orders, documentation, shipping, returns, support, and related communications.

1. Validity and Scope

These General Terms and Conditions form an integral part of every order placed through the Adria Science E-shop, unless Adria Science expressly agrees different written terms with the customer for a specific order. Any general terms, purchasing conditions, procurement conditions, or other terms of the customer do not apply unless Adria Science expressly accepts them in writing.

By creating an account, placing an order, accepting a checkout notice, submitting a support request, joining a waiting list, using a coupon, requesting documentation, or otherwise using the E-shop, the customer confirms that they have read, understood, and accepted these Terms together with the Privacy Policy, Cookie Policy, Shipping Policy, Returns, Refunds and Reshipment Policy, and Legal Notice.

Adria Science may update these Terms. The current version is published on this page with the version date stated above. The version in force at the time an order is accepted applies to that order, unless mandatory law requires otherwise or the parties agree otherwise in writing.

2. Definitions

• Agreement means the contract concluded between Adria Science and the customer, consisting of the accepted order, these Terms, and the related policy pages.
• Company means Adria Science, operating the E-shop at adriascience.com, unless a different Adria operating entity is expressly identified in checkout or the Legal Notice.
• Customer means the natural person, business, institution, organization, laboratory, professional user, or other entity creating an account, placing an order, or using the E-shop.
• E-shop means the Adria Science online store, website, account area, checkout, and related pages operated on adriascience.com.
• Goods means products, research materials, laboratory supplies, analytical documentation, and any related items offered through the E-shop.
• Order means the purchase request submitted by the customer through the E-shop or another method accepted by Adria Science.
• Policies means these Terms and all other published policy pages that govern the E-shop.
• Professional Customer means a customer acting within a business, trade, profession, institutional, educational, analytical, laboratory, research, or R&D capacity, and not as a consumer.

3. Customer Status

The E-shop is intended only for Professional Customers. By placing an order, the customer declares that they are at least 18 years old, have full legal capacity and authority to enter into the Agreement, are not purchasing as a consumer, and are acting within a lawful professional, commercial, institutional, educational, analytical, laboratory, research, or R&D framework.

If a natural person would legally be considered a consumer despite the professional-use structure of the E-shop, that person must notify Adria Science before placing an order. If a customer misrepresents their status, intended use, authority, destination eligibility, or other material information, Adria Science may refuse, suspend, cancel, or restrict the order and may rely on the customer's declarations to the fullest extent permitted by applicable law.

Nothing in these Terms excludes mandatory rights that cannot lawfully be excluded. If mandatory consumer, product, data protection, or other laws apply to a specific transaction, those mandatory rules prevail only to the extent required by law.

4. Research-Use-Only Restrictions

All Goods are supplied exclusively for lawful scientific, laboratory, analytical, educational, or research and development purposes, where permitted by applicable law. The Goods are not medicines, medicinal products, active substances for medicinal use, medical devices, diagnostic products, foods, food supplements, cosmetics, veterinary products, doping products, or products for human or animal administration.

The customer confirms and undertakes that the Goods and all information supplied by Adria Science shall not be used, resold, supplied, advertised, described, transferred, stored, handled, or made available for:

• human consumption, administration, injection, application, ingestion, dosing, or similar use;
• animal consumption, administration, veterinary use, or similar use;
• diagnosis, therapy, treatment, prevention, cure, mitigation, or monitoring of disease, injury, body condition, or medical outcome;
• cosmetic, food, supplement, wellness, athletic-performance, bodybuilding, anti-doping, or similar end use;
• human clinical trials, human experimentation, patient use, or any activity requiring medicinal, clinical, veterinary, cosmetic, food, or similar authorization;
• any activity prohibited by applicable EU, Slovenian, Czech, destination-country, import, export, customs, chemical, criminal, sport, or public-health law.

Scientific references, product names, product pages, concentration notes, solubility notes, storage notes, calculators, COA references, blog content, or other website materials are provided only for lawful research and laboratory context. They must not be interpreted as medical, veterinary, dietary, cosmetic, dosing, administration, treatment, or outcome advice.

5. Customer Declarations and Compliance Duties

By placing an order, the customer declares that they have sufficient competence, facilities, procedures, and legal authority to purchase, receive, store, handle, analyze, use, and dispose of the Goods lawfully and safely. The customer is solely responsible for verifying before purchase that the Goods may lawfully be purchased, imported, received, possessed, stored, handled, used, transferred, and disposed of in the destination country and in any other jurisdiction connected with the order.

The customer is responsible for all licenses, permits, notifications, registrations, declarations, customs formalities, import documentation, occupational safety measures, storage conditions, risk assessments, staff training, downstream-user obligations, and other legal or technical requirements connected with the Goods.

Adria Science may rely on the truthfulness and completeness of the customer's declarations. Adria Science is not obliged to provide legal advice about the customer's destination country, intended workflow, import status, or professional permissions. Where Adria Science has reason to believe that an order may breach applicable law, these Terms, payment rules, carrier rules, sanctions rules, product-integrity requirements, or research-use-only restrictions, Adria Science may refuse, suspend, cancel, or restrict the order without liability to the fullest extent permitted by law.

6. Accounts and Security

Customers may be required to create or use a customer account before ordering. The customer must provide accurate, complete, current, and non-misleading account, billing, shipping, contact, and compliance information. The customer must update such information without undue delay if it changes.

The customer is responsible for keeping login credentials confidential and for all activity through their account. Account access must not be shared, resold, transferred, or used by unauthorized persons. If the customer suspects unauthorized access, they must notify Adria Science without undue delay through the Contact page.

Adria Science may refuse registration, suspend access, delete inactive or abusive accounts, restrict checkout, or require additional verification where necessary for security, fraud prevention, compliance, payment integrity, customer support, or legal reasons.

7. Order Process and Contract Formation

Product listings, prices, stock notices, shipping estimates, and website content are invitations to order and are not binding offers. An order is submitted when the customer completes the checkout steps and confirms the order through the E-shop.

The Agreement is concluded only when Adria Science expressly confirms the order, starts fulfilment, dispatches the Goods, sends shipment confirmation, or otherwise clearly accepts the order. An automated order-received email confirms receipt of the order request but does not by itself require Adria Science to accept or fulfil the order.

Before acceptance or dispatch, Adria Science may verify stock, payment, customer identity, intended use, destination eligibility, shipping feasibility, fraud risk, compliance risk, and other relevant circumstances. Adria Science may request additional information and may cancel the order if information is not provided, is inaccurate, or creates legal, payment, safety, product-integrity, or operational risk.

8. Prices, Currency, Discounts, and Payment

Prices are displayed at checkout in the selected storefront currency where available. Payment must be made through an accepted payment method. Orders may be held, delayed, cancelled, or refused if payment is not completed, payment verification fails, chargeback or fraud risk is detected, or the payment provider refuses or reverses the transaction.

Shipping costs, optional shipping protection, payment charges, duties, taxes, import charges, bank fees, currency conversion costs, customs charges, authority fees, and similar external costs are not included unless expressly shown at checkout or agreed in writing. Currency conversion rates may differ from rates used by banks, card issuers, or payment providers.

Discounts, coupons, store credit, loyalty credit, partner codes, referral codes, promotions, bundles, and similar benefits may be limited by country, product, stock status, order value, customer account, date, payment method, or other conditions. Adria Science may correct obvious pricing, stock, coupon, currency, or technical errors and may refuse abusive, incompatible, duplicated, manipulated, or unauthorized discount use.

9. Fulfilment, Shipping, and Delivery

Shipping and delivery are governed by the Shipping Policy. Orders are normally fulfilled through EU logistics capacity coordinated primarily through the Czech Republic, unless product availability, stock location, carrier routing, legal requirements, or operational circumstances require another lawful EU dispatch route. Adria Science may choose the carrier, dispatch route, shipment method, packaging method, and shipment timing unless expressly agreed otherwise in writing.

Delivery dates and delivery times are estimates unless Adria Science expressly confirms a binding date in writing. The delivery period is paused for any period during which the customer has not provided required payment, information, verification, customs cooperation, carrier cooperation, or other necessary assistance.

The customer must provide a complete and correct delivery address, real full name, reachable phone number with the correct country code, and any information required by the carrier or public authority. The customer must track the parcel, remain available, accept delivery, collect the parcel where required, cooperate with the carrier, and act promptly if a delivery issue appears.

10. Destination, Import, Customs, and Authority Responsibility

The customer is solely responsible for destination-country compliance. If a shipment is delayed, returned, refused, seized, held, destroyed, charged, or otherwise affected because of import restrictions, customs formalities, local legal requirements, missing permits, incorrect declarations, non-cooperation, incorrect contact details, failure to collect, destination restrictions, or other reasons attributable to the customer or destination country, Adria Science is not obliged to resend the shipment unless expressly agreed in writing.

Where a public authority, customs office, carrier, or logistics provider requests information from the customer, the customer must act lawfully, truthfully, and promptly. Adria Science does not instruct customers to make false, incomplete, or misleading statements to any authority.

11. Transfer of Title and Risk

Title to the Goods transfers to the customer only after full payment and lawful delivery, unless mandatory law provides otherwise. Risk of loss, damage, delay, seizure, non-release, or failed delivery transfers in accordance with applicable law and, for Professional Customers, at the latest when the Goods are handed to the first carrier or otherwise made available for delivery, except where mandatory law requires a different result.

If the customer delays acceptance, refuses delivery, fails to provide cooperation, redirects a parcel, changes the delivery address through the carrier, fails to collect the parcel, or otherwise prevents delivery, the customer bears resulting risks and costs to the fullest extent permitted by law.

12. Product Information, COA, and Documentation

Product pages may include product names, images, general specifications, purity fields, batch references, physical appearance, salt form, solubility, storage notes, COA links, and other laboratory-context information. Such information is provided for identification and lawful research review only and may vary by batch, supplier, analysis, stock status, or documentation availability.

Certificates of Analysis, batch documents, and analytical documentation are provided where available through the COA Library, product pages, order communication, or support. COA and batch documents are technical records and do not convert the Goods into medicines, supplements, foods, cosmetics, veterinary products, medical devices, or products for human or animal use.

Adria Science may correct product information, COA links, images, specifications, stock status, and technical errors at any time. The customer must review available documentation before planning any lawful research workflow.

13. Inspection, Defects, and Complaints

The customer must inspect the shipment promptly upon receipt. Visible damage, quantity issues, wrong items, missing items, damaged packaging, or other obvious defects must be reported without undue delay and, for Professional Customers, no later than two business days after delivery unless Adria Science agrees otherwise or mandatory law requires a longer period.

Hidden defects must be reported without undue delay after discovery and, for Professional Customers, no later than one month after delivery unless mandatory law requires a longer period. The report must include the order number, product name, batch or lot number where applicable, tracking number, clear description, photos, and any first-opening video required by the Returns, Refunds and Reshipment Policy.

Adria Science may request additional evidence, carrier records, product photos, packaging photos, authority documents, return of the Goods, or non-return disposal instructions. The customer must not return Goods without written instructions from Adria Science. Unauthorized returns may be refused, returned, destroyed, or handled as necessary for safety, compliance, and product-integrity reasons, and the customer may be responsible for resulting costs.

14. Remedies, Refunds, Store Credit, and Reshipment

Returns, refunds, store credit, missing items, damaged items, failed delivery, returned parcels, lost parcels, customs holds, and one-time free reshipment requests are governed by the Returns, Refunds and Reshipment Policy. The submission of a refund, reshipment, store credit, or compensation request does not itself create entitlement to that remedy.

Where Adria Science confirms a defect, missing item, shipment loss, or other eligible issue, Adria Science may choose the appropriate remedy to the fullest extent permitted by law, including replacement, one-time reshipment, delivery of missing Goods, discount, store credit, refund of the eligible purchase price, or another agreed solution.

Delivery costs, return costs, storage costs, customs costs, administrative costs, handling costs, payment fees, carrier fees, and similar costs are refundable only where expressly required by mandatory law, expressly stated in the applicable policy, or expressly agreed by Adria Science in writing.

15. Website Availability and Content

The E-shop, account area, product pages, payment links, search, COA Library, calculators, forms, and other website functions are provided on an as-available basis. Adria Science does not guarantee uninterrupted access, error-free operation, compatibility with every device or browser, continuous stock availability, or continuous availability of every page, integration, or payment method.

Adria Science may update, suspend, restrict, remove, replace, or change website content, product listings, payment methods, shipping methods, account functions, promotions, documents, and technical features at any time for operational, legal, compliance, security, or commercial reasons.

16. Intellectual Property and Documentation Protection

All website content, brand elements, product images, text, design, layout, software, databases, documents, COA layout, analytical-document presentation, logos, trade names, graphics, marketing materials, and technical structures are owned by or licensed to Adria Science and are protected by intellectual property, database, unfair competition, and other applicable laws.

No content may be copied, scraped, mined, reproduced, modified, published, distributed, resold, used for competing commercial purposes, or used to train datasets or systems without prior written permission, except where mandatory law expressly permits such use. Unauthorized copying or misuse of COA documents, analytical records, product images, batch documents, or brand materials is prohibited.

17. Confidentiality

Non-public information disclosed by Adria Science, including pricing, discounts, customer-specific terms, supplier information, fulfilment details, complaint handling, internal processes, documents, and other information that should reasonably be treated as confidential, must be kept confidential and used only for the purpose for which it was disclosed.

This duty does not prevent disclosure required by law, public authority, court, professional adviser, or the Agreement, provided the disclosure is limited to what is necessary. Confidentiality obligations continue after the Agreement ends for five years, or longer where the nature of the information or applicable law requires longer protection.

18. Limitation of Liability and Indemnity

To the fullest extent permitted by applicable law, Adria Science is not liable for indirect, incidental, consequential, special, punitive, business-loss, lost-profit, lost-opportunity, reputational, customs, authority, carrier, destination-law, misuse, unlawful-use, or third-party damages, even if such damages were foreseeable.

To the fullest extent permitted by applicable law, Adria Science's total cumulative liability arising from an order shall not exceed the amount actually paid by the customer for the specific Goods giving rise to the claim, excluding shipping, payment, customs, tax, and external costs, unless mandatory law requires otherwise.

The customer shall indemnify and hold Adria Science harmless from claims, losses, costs, penalties, authority actions, customs issues, damages, and expenses arising from the customer's breach of these Terms, inaccurate declarations, unlawful use, prohibited use, destination-country non-compliance, import/export breach, resale breach, misuse of Goods, or third-party claims caused by the customer's acts or omissions.

19. Force Majeure

Adria Science is not responsible for delay or failure caused by events outside reasonable control, including carrier disruption, customs delay, public authority action, regulatory change, stock interruption, supplier failure, payment-provider issue, fraud review, cyber incident, system outage, strike, epidemic, pandemic, natural event, fire, flood, war, sanctions, embargo, import or export restriction, power failure, or similar circumstances.

20. Termination, Cancellation, and Refusal

Adria Science may withdraw from, cancel, suspend, or refuse an order where the customer fails to pay, provides inaccurate or incomplete information, breaches these Terms, fails verification, fails to cooperate, creates legal or compliance risk, creates fraud or chargeback risk, orders Goods that cannot lawfully or reasonably be supplied, or where fulfilment becomes impossible or commercially unreasonable for reasons outside Adria Science's intentional fault.

If Adria Science cancels an order before dispatch for reasons attributable to Adria Science, Adria Science will refund the eligible amount paid for the undelivered Goods and, where applicable, eligible delivery costs. If cancellation, non-delivery, return, seizure, refusal, or delay is attributable to the customer, destination country, carrier redirection, import issue, or customer non-cooperation, deductions and limitations in these Terms and the related policies apply.

21. Privacy and Cookies

Personal data processing is described in the Privacy Policy. Cookies and similar technologies are described in the Cookie Policy. The customer must not submit personal data of third parties unless the customer has a valid legal basis and has provided all required information to those persons.

22. Notices and Electronic Communication

Adria Science may communicate by website notice, account notice, email, support form response, order note, shipment email, payment email, or other appropriate electronic means. A notice sent to the contact details provided by the customer is deemed delivered when it enters the customer's sphere of control or, for email, no later than the second day after sending, unless mandatory law requires another rule.

The customer must keep contact details current. Electronic signatures, click-wrap confirmations, checkout checkboxes, order confirmations, account confirmations, and other electronic acceptance mechanisms may be used to conclude, amend, evidence, or terminate arrangements where permitted by law.

23. Assignment

Adria Science may assign receivables and transfer rights and obligations under the Agreement to an affiliated entity, successor, service provider, payment provider, logistics provider, or other third party where reasonably connected with business operation, restructuring, debt collection, fulfilment, or legal compliance. The customer may not assign rights or obligations without prior written consent from Adria Science.

24. Applicable Law and Jurisdiction

Unless mandatory law requires otherwise, the Agreement is governed by the law of the EU member state in which the Adria Science operating entity named in checkout or the Legal Notice is established. Until a different operating entity is expressly identified, the current operator is Adria Science. Fulfilment, logistics, customs, import, export, chemical, and public-authority matters may also be subject to EU law, Czech law, destination-country law, and other mandatory laws connected with the order.

Disputes shall be submitted to the competent courts of the Company, unless mandatory law gives the customer another mandatory forum or the parties agree otherwise in writing.

25. Severability and No Waiver

If any provision of these Terms is invalid, ineffective, or unenforceable, the remaining provisions remain valid to the fullest extent permitted by law. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial and legal purpose.

If Adria Science does not enforce a right immediately, this does not constitute a waiver. Any waiver is effective only if made expressly in writing for the specific case.
